## Introduction&#x20;

The crypto world suffers from general over-complication and unbearable user experience that dissuade people from getting involved.

Nested is a crypto trading platform that breaks that trend by revolutionizing the accessibility to web3 investment in a way that is unprecedentedly simple, social and safe.

We provide a tool that enables people who know about crypto, and those who do not, to make money off each other in a way that is fair and mutually beneficial.

Our protocol leverages the power and practicality of NFT technology to create entire investment portfolios – Nested portfolios – that represent specific strategies depending on resource allocations within the portfolio, and that allow for the monetization of knowledge.

## How it works

Once the portfolio is created, the user owns a NestedNFT representing the user’s holdings – up to twelve tokens in one single NFT – all backed by the underlying assets and their real market value.

The portfolio is modifiable at will by the owner and can be replicated by other users who might be inspired by the performance of the strategy at play.

Each copy of a portfolio earns its creator royalties, which incentivizes savvy traders to build successful portfolios that pay-off and profit to others too.

Furthermore, each alteration made by the original creator of the portfolio will be notified to all those who have copied it, giving replicators the choice to follow the move, or not.

The act of replicating a portfolio and the economy that revolves around it lies at the heart of Nested’s intended strategy to democratize DeFi. It is what truly gives the platform its social dimension.

This is not simple DeFi anymore, it is SocialFi at its best.

### Auntie Danie on Nested

#### Example:

1. I know about crypto so I decide to create a Nested portfolio by assembling various tokens together. I put $1k down and decide to allocate it following different percentages on each token that I have chosen for my portfolio.&#x20;
2. My Auntie Danie has got around $500 in savings that she wishes to invest too, but she obviously does not know anything about crypto – she trusts me though. I explain to her that she can invest her money following my strategy directly on Nested.&#x20;
3. I create a wallet for her that we connect to the platform. We go to my profile and copy my newly created portfolio. The Nested Smart Contracts instantaneously buys all the assets on decentralized exchanges and create a replica of my NestedNFT for Auntie Danie.&#x20;
4. Her $500 are now allocated exactly like my $1k in percentages, and I receive royalties for the copy.&#x20;
5. We both make money.

# Fees distribution

This page describes our business model.

## Overview

We charge a fee for each portfolio transaction. It is charged at a portfolio's creation, update, or sale. Once the DAO is live, the DAO members will continually adjust this fee.&#x20;

Nested charges a 0.3% fee on each operation that doesn't reduce our TVL.&#x20;

It includes the following functions:

* The creation of portfolios
* The copies of portfolios
* Updates
* Edit allocations
* Simple deposit
* Proportional deposit
* Buy/Sell/Convert operations

We charge a 0.8% fee on each operation that reduces our TVL.

This includes the following:

* Simple withdrawal
* Proportional withdrawal&#x20;

Fees are shared with Nested Finance Ltd. and the initial creator of the Nested portfolio.&#x20;

Once the DAO is live, its members will continually adjust this fee.&#x20;

There are two ways a portfolio can be created:&#x20;

1. It is either replicated from an existing portfolio&#x20;
2. OR built from scratch.

## First scenario: you create a portfolio from scratch

&#x20;In this case, all the fees go to Nested Finance Ltd, and there are no royalties.

## Second scenario: you replicate another portfolio

Fees are equally shared between Nested Finance Ltd. and the initial creator of the Nested portfolio.&#x20;

This distribution does not occur only at the first replication of a portfolio but during its entire lifecycle.&#x20;

Examples:&#x20;

* Bob replicates Alice's Nested portfolio with 10,000 USD.&#x20;
  * Our protocol will charge 30 USD of fees \[0.3%, that is].&#x20;
    * The fee will then be split 50/50.

      * 15 USD will go to Nested Finance Ltd., and the other 15 USD will go to Alice.&#x20;

* Alice updates her Nested portfolio by swapping UNI for COMP.&#x20;
  * Bob synchronizes then his portfolio with the new allocations
    * Alice gets once again half of the protocol's fees – 0.3%. \

# Airdrop

This page explains the process that drives the NST airdrop.

The moment everyone is waiting for is upon us.

**One epoch corresponds to one week.  The airdrop will last until the full budget has been distributed. There are 2,625,000 tokens to be distributed.**&#x20;

At the end of each epoch (each Sunday, at 11:59 PM UTC), Nested will airdrop NST to our users according to the formulas explained below.&#x20;

Those tokens won't be claimable until the TGE happens. Airdropped tokens will be claimable at TGE.&#x20;

For our first users who used Nested before the official announcement of the airdrop, we have something for you!&#x20;

There are two different formulas, one used for [#genesis-epoch](#genesis-epoch "mention")and another one for the [#others-epochs](#others-epochs "mention")

**These rules count for original and copied portfolios.**&#x20;

**Rules can be changed at the sole discretion of the team, and according to our users' feedback.**

**Original and copied portfolios that are worth less than 20 USD at each snapshot won't be taken into account at all for any snapshot – at any point in time.**&#x20;

**No one is ever sheltered from a hick-up on the tech side. So, in case of an issue, just know that the Nested team will do everything that** **it can to resolve it in the shortest timeframe possible.**&#x20;

**NO NEED FOR MATH HERE - JUST READ!!!**

Our algorithm takes into account two sets of parameters that are time-sensitive:

1. The parameters relative to snapshots
2. The parameters relative to epochs

#### Definition of key terms:

* 1 snapshot = 1 hour
* 1 epoch = 1 week
* 1 epoch = 168 snapshots

### Take it like a competition

Imagine the epoch is a competition with a scoreboard.

The competition is divided into 168 snapshots.

You want to score the highest score possible at every event/snapshot for the highest reward at the end of the competition/epoch.

### How to score the highest possible?

The formula that computes your score for every event/snapshot looks at the following factors:

1. The total value of all your portfolios.
2. The total number of copies and their total value.
3. The diversity of networks used to build your portfolios: Ethereum, BNB Chain, Optimism, Arbitrum, Avalanche, etc.
4. The volume of activities – create, manage, copy, deposit, edit allocations, etc. – on Nested.&#x20;

Each event/snapshot lasts 1 hour, at the end of which scores are written down AND reset to 0 for the next event/snapshot.

Once the 168 snapshots of the competition/epoch are over, the formula computes your average score to determine your reward.

So if you were active + used all networks + had a high number of copies, + a high total value of all portfolios over the whole competition/epoch – this means that you did well, and your reward should be HIGH.

Potential scenarios:

* If you did well at the 168 events/snapshots => HIGH REWARD
* If you did well at 75 events/snapshots but sucked at the rest => MEDIUM REWARD
* If you did well at 10 events/snapshots but sucked at most => LOW REWARD

The Airdrop is a marathon, not a sprint.

# Genesis Epoch

This page describes how the airdrop works during the genesis epoch.

For our first users who used Nested before the official announcement of the airdrop, we have something for you!&#x20;

We dubbed it Genesis: share a prize of 50,000 NST with your fellow Nesters!

The Genesis epoch runs from the 1st day of launch (February 23rd,2022) to the beginning of the first epoch.

# Other epochs

This page describes how the airdrop works during other epochs than the genesis one.

The first epoch starts on the 2nd of May at 00:00 UTC.

Here is the airdrop distribution per epoch:

​We decided to change the rules from the 8th epoch. Until epoch 8th, 501,675 NST has been distributed; there are 2,123,325 tokens left. The total amount of rewards R to be distributed during the following epochs depends on the volume generated by all the users at each epoch:

Every hour, users' scores will be computed according to the following formula:

We compute the cumulative sum of each score for each user j at the end of an epoch k:

* There is 50,000 NST to be distributed at the end of this first epoch.

What is all the fuss about these wallets you might wonder!?

We are obviously not talking about your favorite leather wallet that you've been carrying around for years.

We are talking digital here – digital wallets.&#x20;

These new pieces of technology appeared along with the rise of cryptocurrencies.

There are two types of digital wallets:

1. Hot wallets
2. Cold wallets

Although #2 is well worth writing about, this section is about hot wallets, what they are, how to use them on Nested and which ones do we accept.

Hot wallets are like digital vaults that you own.

It has a unique address and enables you to interact financially with various web3 applications.

You can send, receive or store cryptocurrencies and use them as you wish with the platforms that accept both your wallet and the cryptocurrency you wish to use.

Without getting into too much technical details, this is basically how it works.

Nested accepts 4 different wallets at the moment:

How to setup a web3 wallet with Magic Link?

If you are new to cryptocurrencies, we recommend using this method to log in to Nested.&#x20;

First, click on the profile icon at the top of our application.

The only thing you need to do is to connect your Twitter account, Google account, phone number, or your email to Nested.

We suggest always using the same authentication method. If you change of authentication method, another wallet will be generated and you won't see your existing assets. In other terms, if you logged in to Nested with your Twitter account, always use this authentication method to log in to Nested.

# MetaMask

This page explains how to create a MetaMask wallet. This is an important first step of your crypto journey so, do not read fast!

[MetaMask](https://metamask.io/) has become a pillar of the web3 world.&#x20;

With more than [10 million monthly users](https://consensys.net/blog/press-release/metamask-surpasses-10-million-maus-making-it-the-worlds-leading-non-custodial-crypto-wallet/), the Fox – MetaMask's logo – has proven its reliability.&#x20;

It is easy to use and has become the most popular [software wallet](https://ethereum.org/en/wallets/) available to date.&#x20;

Here is how to set it up.

## 1. Download and install MetaMask

* Go to the [MetaMask website](https://metamask.io/) to find instructions on how to download it.
* &#x20;Their browser extension is compatible with:&#x20;
  * Chrome
  * Firefox
  * Brave
  * Microsoft Edge
  * OR as an app via an Apple or Android device.

Even if you wish to use MetaMask on mobile, setting it up on a PC or Mac is easier.&#x20;

Once the browser extension is fully set up, nothing stops you to create an account that can be imported onto the Apple or Android app.

## 2. Create a wallet

Once you’ve downloaded and installed the browser extension – Chrome here – you land on the first selection screen.&#x20;

* Assuming this is your first time, hit **“Create a Wallet”**.&#x20;

If this is not your first time, there might be no need to explain – you may simply hit **"Import wallet."**

### <mark style="color:red;">**Safety first**</mark>

* **Create a password**

You will use this password to sign in to your account via the browser extension or the mobile app.

Although this is *not* your private key/seed phrase, you must save it in a safe place, just as with any password.

* **Save your seed phrase**

This is your secret backup phrase –  usually a non-sensical line of random words.

This is a randomly generated string of words and MetaMask will prompt you to confirm this phrase by entering it back into the app.&#x20;

Once confirmed, you will land on the main page of your MetaMask wallet.

Note: Please write your seed phrase down on paper and save it somewhere safe – meaning offline.&#x20;

Saving your phrase anywhere on your computer exposes you to hacks and scams – just know that many people were hacked via their seed phrase, so do not take this lightly.&#x20;

## 3. Settings and a piece of advice

You should try to play with your new wallet’s settings to get familiar with it.&#x20;

To access the general settings page, hit the icon in the top right corner of the page – next to where it says **“Ethereum Mainnet.”**&#x20;

Your account name, notification settings and contact list can be edited directly from settings.

Your wallet’s unique Ethereum address shows directly below the **“Account 1”** identifier — that you may change of course.&#x20;

An Ethereum address is a random string of characters.

This address is yours and yours only – such as your traditional bank account details – and this is what you will use to interact with the Ethereum blockchain from anywhere.&#x20;

You will need it sometimes on websites and various exchanges whether to collect, send or receive tokens.&#x20;

Every ETH address is more or less public and searchable via Etherscan.io for transparency purposes.

Be reassured though, just because you can see and copy someone’s address does not mean you have control over it at all – the seed phrase is where the danger lies.

While anyone can send a token to any ETH address, only the user who owns the wallet associated with this address (i.e., has the password and seed phrase) can manage the tokens within it.

## 4. Add Funds

The two most common ways to add tokens to your MetaMask wallet are by either:

1. Sending it from an exchange (Coinbase, Gemini, etc.)
2. OR purchasing ETH directly through Wyre – MetaMask’s default payment interface.

* Hit **“Add Token”** at the bottom of your main wallet page.&#x20;

Here you can search for a variety of commonly traded tokens – not just ETH.

Just know that tokens usually go by their shorthand names.

For instance:

* ETH = Ethereum
* BTC = Bitcoin
* SOL = Solana

Once your wallet is created and connected to Nested, you can add funds to it in an easy way.

First, click on your profile on the header of the application.

This page describes how to see an overview of profiles

Nested is about Social Finance.

We don't believe in crypto trading alone or in trying to figure it out by oneself whereas the market is constantly evolving.&#x20;

This is why we have come up with the idea of making it social, and this is where profiles play such an important role.&#x20;

Profiles give everyone the opportunity to see who is behind record-breaking strategies, follow them and keep oneself abreast of their activity. &#x20;

## How to find a profile?

You can look for profiles directly in the explorer, or click on a portfolio to see who is the creator.

You have access to your own profile overview by hitting the icon in the upper right corner of the page – from anywhere in the app.

# Edit a profile

This page explains how to edit a profile.

You are only here because you wallet was successfully connected to Nested.

The wallet being now connected, we are able to create portfolios and generally use the app like anyone else.

There is just one step left in order to enjoy Nested fully: **edit our profile**.

For that:

* Click on the icon in the upper right corner of the page.

As you can see, we are given an anonymous username – literally "Anonymous#49379"

Let's change that.

* Hit **"Edit"**

# Original Portfolios

This page explains what is an original portfolio and what it entails

Nested is about the democratization of DeFi.

To render a world that has remained quite exclusive for a long time accessible to all, we leverage the incredible force of Social Finance => SocialFi

We basically create a social environment in which users can benefit from each other's knowledge and activity.

This is why we have two types of portfolios:

1. Original portfolios \[YOU ARE HERE]
2. [Copied portfolios](/instructions-for-use/manage-portfolios/copied-portfolios)

On the one hand, original portfolios are created from scratch and display a specifically chosen strategy.

On the other, copied portfolios are copies of originals that enable people who do not know much about cryptocurrencies to look for successful originals and copy them in order to benefit from the strategies at play.

&#x20;These strategies depend on:

1. [The choice of tokens/assets within the portfolio](https://docs.nested.fi/instructions-for-use/manage-portfolios/pages/-MYPg_junP0C4JeAlPVu#3.-select-your-underlying-assets)
2. The allocation percentage that each of these tokens/assets take within that same portfolio

Now, if this particular portfolio turns out successful with record high profits, it might attract other users who – unable to come up with a successful strategy of their own – may decide to copy that original portfolio.&#x20;

* The portfolio created from scratch is the original portfolio.
* The portfolio that is copied by a user is the copied portfolio

To be clear:&#x20;

* The creator of the original portfolio owns that portfolio – unless he decides to sell it.
* The user who copies that portfolio owns the copy, NOT the original.

That original portfolio was created from scratch SO:&#x20;

It is indeed the creator of that portfolio who will benefit from all the royalties generated at each copy – NOT the user who copied the original portfolio.

# Create a portfolio

This page explains how to create a portfolio.

It takes 5 easy steps and less than 3 minutes to create a portfolio on Nested – let us walk you through it.

### 1st step: Click on "Create Portfolio."

### 2nd step: Select your underlying assets.&#x20;

Build your portfolio with the assets of your choice.

You can search for any tokens, play with sliders, and manually set or lock an allocation.

### 3rd step: select a coin you want to create your portfolio with.

The Nested protocol will look for stable coins or crypto you own in your web3 wallet.&#x20;

In this example, we can use USDC to create the portfolio.&#x20;

### 4th step: set your budget.

Set the amount you want to create your portfolio with. In this example, we want to create a portfolio with 746.82 USDC.&#x20;

We must authorize the Nested protocol to take the USDC tokens from our web3 wallet.

nb: If it's the first time you deposit a token, you must authorize it, and click on "Approve USDC".

### 5th step: Make your portfolio stand out.

If you are fine with your budget, the assets you selected, and the weights you fixed – you're done with the most difficult part.

You may now choose a name to customize your portfolio and make it stand out!&#x20;

All left to do now is mint your portfolio by clicking **"Create portfolio"** to finalize the creation process.

# Simple Deposit

This page describes how the simple deposit feature works.

The simple deposit feature allows you to deposit funds from your web3 wallet to a Nested portfolio.

In the following example, we deposit SUSHI tokens stored in our web3 wallet to a Nested portfolio on Arbitrum.

### 1st step: click on "Deposit funds"

Select a coin you want to deposit from your web3 wallet to your Nested portfolio. You can search for any coins through the search bear; you just need to be sure you own this coin in your web3 wallet.&#x20;

In this example, we want to deposit USDT tokens in our portfolio.

### 4th step: set the amount you want to deposit

Set the amount to deposit. In this example, we want to deposit 5.5$ worth of SUSHI tokens.&#x20;

We must authorize the Nested protocol to take the USDT tokens from our web3 wallet.

nb: If it's the first time you deposit a token, you must authorize it, and click on "Approve USDT".

You just need to click on "Confirm deposit" and wait for the operation to be confirmed!

# Proportional Deposit

This page describes how works the proportional deposit feature.

The proportional deposit feature allows you to purchase every token owned in your Nested portfolio according to their current and existing allocation. **The proportional deposit feature is an excellent and easy way to accomplish a Dollar Cost Average (DCA) strategy.**&#x20;

In this example, we want to purchase all coins stored in the following portfolio using money owned in our web3 wallet.

Here is how a $10 proportional deposit will work in this case:&#x20;

* 40% ($4) to purchase ETH
* 19% ($1.9) to purchase MYC

### 4th step: set a budget and confirm

You must set a budget the Nested protocol will use to proportionally deposit it into your Nested portfolio. Once you have done it, you can click on "Confirm deposit" and wait for the operation to be confirmed.

In this example, we want to use $3.29 to purchase all coins owned in this Nested portfolio according to the existing and current allocations.&#x20;

# Buy

This page describes how works the buy feature.

The buy feature allows you to buy any tokens with stablecoins owned in your web3 wallet **or** your Nested portfolio.&#x20;

In this example, we want to buy CRV tokens with USDC owned in our web3 wallet.

### 1st step: click on "Buy crypto"

### 2nd step: select a crypto you want to buy

Select a crypto you want to buy and deposit to your Nested portfolio.&#x20;

You can search for any available cryptos through the search bear.

In our example, we searched & selected CRV.&#x20;

### 3rd step: select the source of the funds

You now have two choices: using stablecoins stored in your web3 wallet or in your Nested portfolio.&#x20;

In this example, we used stablecoins stored in our web3 wallet.

### 4th step: select a stablecoin

You now have to choose a stablecoin that is contained either in your web3 wallet or your Nested portfolio depending on the choice you made above.&#x20;

In this example, we used USDC to purchase CRV.&#x20;

### 5th step: set a budget and confirm

You must set the budget you want to use to buy the token you selected in the 2nd step. Once this budget is set, you can click on "Buy" and wait for the operation to be confirmed.

In our example, we decided to use USDC 2.7 to purchase our desired CRV tokens.

The simple withdrawal feature allows you to withdraw tokens from a Nested portfolio to a web3 wallet.

You can withdraw any tokens stored in your Nested portfolio.

In this example, we want to withdraw UNI from our Nested portfolio to our web3 wallet.

### 5th step: set an amount to withdraw and confirm

Set the quantity you want to withdraw. Once this quantity is set, you can confirm the withdrawal and wait for the operation to be confirmed.

In this example, we want to withdraw 0.5 UNI. Once the operation is confirmed, we will get 0.5 additional UNI in our web3 wallet, and 0.5 less UNI in our Nested portfolio.&#x20;

# Proportional withdrawal

This page describes how the proportional withdrawal feature works.

The proportional withdrawal feature allows you to sell all tokens contained in your Nested portfolio according to their current allocation and against a specific stablecoin or token. &#x20;

**If you decide to withdraw 100% from your portfolio, this equates to liquidating your entire portfolio. It means all your coins will be sold for the stablecoin/crypto you selected at the 4th step.**&#x20;

In this example, we want to withdraw 25% of our Nested portfolio for USDC.&#x20;

Here is how a 25% proportional withdrawal will work in this case:&#x20;

* 25% of all the ETH contained in this Nested portfolio will be sold for USDC. The USDC will then be deposited in our web3 wallet.
* 25% of all the MYC contained in this Nested portfolio will be sold for USDC. The USDC will then be deposited in our web3 wallet.
* 25% of all the CRV contained in this Nested portfolio will be sold for USDC. The USDC will then be deposited in our web3 wallet.

3. **Convert:** It allows you to convert a cryptocurrency for another.

# Copied Portfolios

This page explains what is a copied portfolio and what it entails

This is the section dedicated to copied portfolios.

Here, you will learn how to:

Copying a portfolio means that <mark style="color:green;">the</mark> <mark style="color:green;">user who copies is the owner of the copy</mark>, NOT of the original.

This means that there are caveats to be aware of!

The copy is identical to the original NestedNFT in ONLY the following regards:

1. It contains the same tokens
2. AND the percentages of funds' allocation are the same
3. It will also follow adjustments made by the original creator IF AND ONLY IF the user who copied the original portfolio agrees to follow the adjustments when prompted to do so by notifications.

The copy is different than the original in the following regards:

1. The original creator might have created his portfolio with $10k whereas the user who copied did so with $1k – the percentage allocations of the funds are the same but not on the same amount basically.
2. A copied portfolio CANNOT BE EDITED
   * You can deposit on the portfolio OR withdraw from it  – that's it!
3. The copy will never get copied because YOU CANNOT COPY A COPY - YOU CAN ONLY COPY AN ORIGINAL
4. The owner of the copy will never receive royalties for that copied portfolio
5. The name of that portfolio will be the same as the original + the number of the copy
   * Example:&#x20;
     * Original: NESTED LOVE
     * Copy #1: NESTED LOVE #1
     * Copy #2: NESTED LOVE #2

* You can browse portfolios on the platform by scrolling down on the Explorer, using the search bar and filters.&#x20;

### 2nd step: click on "copy"

### 3rd step: Select a stablecoin/crypto

You can copy a portfolio by using stablecoins or cryptos.

In this example, we will use ETH to copy a portfolio.

### 4th step: set a budget and confirm

All the assets in your Nested portfolio are bought proportionally to what is found in the Nested portfolio you want to copy. You need to consider this when setting the budget for the replication.&#x20;

Once your budget is set, you can click on "Copy" and wait for the operation to be confirmed.

# Deposit/Withdraw on a portfolio

This page explains how to deposit on a portfolio

A copied portfolio cannot be edited per se.

You can deposit money on it if you wish to invest more into that particular strategy or withdraw money from it if you wish to reduce your investment into that particular strategy.

# Update a portfolio

This page explains how to update a copied portfolio

The update of a portfolio can only occur if – and only if – said portfolio is copied.

Let's say the creator edits the original portfolio:

* You get notified via our Telegram/Push notifications/email.
* You can either accept or refuse to update.

The choice is yours.

The idea behind is to give as much control as possible to the copied portfolio's owner – he or she might not be able to edit that strategy but can refuse or accept adjustments made by the creator.

You can see if your copy is "Up to date" directly on the card representing the copy.

### 1st step: click on the portfolio that is not up to date.&#x20;

You can click on the "Update" button to update your copy with the original portfolio in one click.&#x20;

### 2nd step: Apply or decline the updates.

You can review the updates by clicking on "Update history".

This page explains how to send a portfolio to someone

This is right, you can send an entire portfolio to someone!

The fact that it is an [original](/instructions-for-use/manage-portfolios/original-portfolios) or a [copied](/instructions-for-use/manage-portfolios/copied-portfolios) one does not matter => you can send it all the same.

Imagine that you wish to make a birthday gift to a friend or a relative:

* You [create](/instructions-for-use/manage-portfolios/original-portfolios/how-does-it-work) a fancy looking portfolio
* You send it

It was easy and your friend is happy.

Now, how does it look when doing it?

### 1st step: click on "My Portfolios".

Select a portfolio you want to share!&#x20;

Nested gives you the possibility to share portfolios on the social media of your choice to inspire others.

### 1st step: click on "My Portfolios".

The portfolio overview gives you an idea of how well – or how poor – is your overall performance across all portfolios.

Nested gives its users the possibility to earn royalties based on the number copies made of their [original portfolios](/instructions-for-use/manage-portfolios/original-portfolios).&#x20;

This means that if you only own [copied portfolios](/instructions-for-use/manage-portfolios/copied-portfolios) because you just copy other users' strategies, you will NOT earn any royalties.

You MUST [create original portfolios](/instructions-for-use/manage-portfolios/original-portfolios/how-does-it-work) of your own and then convince others to copy your original portfolio to start earning royalties.

## Smart contracts

### **Smart contract failures - bugs**

Nested smart contracts were [audited](https://github.com/NestedFi/nested-core-lego/tree/master/audits).

However, security audits do NOT eliminate risks completely. Please don’t supply your life savings – or assets you cannot afford to lose – to Nested.

### **Smart contract upgrades - Admin Keys**

The Nested protocol is decentralized.

However, the engineers insuring maintenance are able to pause and unpause the smart contracts at will in case of a major issue.

Smart contracts **CAN** be upgraded with a timelock, which leaves ample time for the community to review changes.

Some functions of the protocol are privileged, and can be called by the technical team doing maintenance.

Nested will be transitioning to a DAO to be fully decentralized as soon as possible

We are securing smart contract access with multi-signatures wallets.&#x20;

### **Smart contract attacks**

The smart contracts involved in the Nested protocol have been battle-tested on code4rena ([1st public contest](https://code4rena.com/reports/2021-11-nested/) & [2nd public contest](https://code4rena.com/reports/2022-02-nested)), which has the reputation of gathering some of the best white hat hackers.

All major issues raised during the audit have been fixed.

There is no guarantee that smart contracts are flawless though – no system is entirely unbreakable.

### **Third parties**

The Nested protocol greatly benefits from DeFi composability. Some protocols external to Nested are used to provide financial services to users. It includes, and is not limited to: 0x, Paraswap. It also includes all underlying protocols used by the ones listed.

### Network attacks

#### **Network failure & attack**

Nested is a multichain protocol. There are inherent risks to using any of the blockchains supported e.g. 51% attack, network downtime etc.

#### **Front Running & liquidity issues**

On EVM-compatible (Ethereum-like) networks, users compete to have their transactions validated first. Often, bots try to front-run users to extract value. Nested protects users by allowing them to set the slippage (price tolerance) in all transactions.

💡 Users are responsible to set the slippage accordingly to protect themselves from any front running and [sandwich attacks](https://medium.com/coinmonks/defi-sandwich-attack-explain-776f6f43b2fd)<mark style="color:red;">.</mark>

### Web app

#### **DNS attack**

A DNS attack on our website could allow a hacker to redirect users from Nested to a malicious website.

Nested will never ask any user for private keys, passwords, login information, or seed phrases of any sort. If you were to encounter such behavior from entities claiming to represent us, please block them and notify us immediately.

# Why do we use NFTs?

* **Portfolios are as unique as Jack Dorsey's tweets**

An NFT represents ownership of a non-fungible asset.&#x20;

Investment portfolios are unique strategies or customizable financial products. The best way to tokenize them is as NFTs.&#x20;

The main difference between Uniswap V2 and V3 is the latter's ability to support the tokenization of liquidity providers as NFTs. The move must have been informed by the fact that a liquidity provider determines every feature of their strategy (price ratio, fees, etc.). In other words, each liquidity provider token becomes a non-fungible, unique, and even a personal financial product.‌

* **If your portfolio and mine are fungible, you won't mind swapping yours with mine?**

It is illogical to represent portfolios as ERC-20 tokens. ERC-20 tokens represent the ownership of standardized products. While users can replicate the portfolios of others on Nested, at any time, they can update the contents of their portfolios. This makes it diverge or become dissimilar from the one it was copied from.

If we had represented those two portfolios in the form of ERC-20 tokens. These tokens would need to have the same underlying assets at all times. There will be a discrepancy between the two portfolios when they diverge.

Let's say X is a portfolio. Y is another portfolio issued from replication of X. \
Let's say X and Y are represented by the same ERC20 token. \
-> At the replication time X = Y \
If X gets updated then X != Y \
-> X and Y are backed by different underlying assets but they would be represented by the same ERC20. The model becomes broken.

* **My mom knows what an NFT is.**

There is considerable hype around NFTs. But more importantly, retail investors, and even the public, have understood the concept of NFTs in a shorter time than it has taken for them to comprehend cryptocurrencies.

# How are assets stored and secured?

The Nested protocol is a set of smart contracts with complete decentralized execution.&#x20;

The assets backing a Nested portfolio are stored on-chain. A Nested portfolio allows users to maintain full ownership of the underlying assets.&#x20;

The NFT representing the Nested portfolio acts as a super key, and through it, users can move or redeem the underlying assets. Transferring the ownership of the NFT to someone also transfers to them the control of the assets that back it.


# Are Nested portfolio assets rebalanced?

#### If my Nested portfolio is compounded with 2 ETH at $2K per ETH and 10 COMP at 500$, is it still compounded with 2 ETH if the ETH price rises at $2.5K and COMP price stays at 500$?&#x20;

Yes! We designed Nested so you won't ever have to bear any impermanent losses. Even if you set your portfolio with weights, initial quantities won't ever change except if you decide to update your portfolio. Rebalancing can then be done manually.


# What happens when a user updates a Nested portfolio?

The NFT representing a portfolio also represents the ownership of the underlying assets. We've implemented a data structure that maps the asset composition of every NFTs delivered by Nested smart contracts.&#x20;

When a user changes the asset composition of their Nested portfolio, the smart contract that manages it automatically updates the global data structure. The NFT representing the user's portfolio isn't burnt and reminted at any point.&#x20;


# How illiquid assets are managed during the liquidation process?

All illiquid underlying assets are sent back to the user's cryptocurrency wallet (Metamask, Coinbase Wallet, etc.). A portfolio liquidation can never be reversed.&#x20;


# Terms & Conditions

This Agreement is between you and Nested Finance Ltd. (“Company”, “Nested Finance Ltd.”, “we”, “our” or “us”) concerning your use of (including any access to) Company’s websites, including but not limited to nested.fi, nested.finance and each of their subdomains, our mobile applications, and our web applications (collectively with any other materials and services available therein, and successor site(s) or application(s) thereto, the “Site”). This Agreement hereby incorporates by this reference any additional terms and conditions with respect to the Site posted by Company to the Site, or otherwise made available to you by Company, including without limitation, during the creation, acquisition, transfer, or modification of certain digital assets, our online and/or mobile services, and software provided on or in connection with those services.&#x20;

#### **Acceptance**&#x20;

By clicking or tapping any button or box marked “accept,” “agree”, "sign message", or “OK” (or a similar term) in connection with this Agreement, or by accessing or using the Site, you agree to be bound by this Agreement and affirm that you are of legal age to enter into this Agreement where you live and have the legal capacity to enter into this Agreement. If you are an individual accessing or using the Site on behalf of, or for the benefit of, any corporation, partnership or other entity with which you are associated (an “Organization”), then you are agreeing to this Agreement on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to this Agreement. References to “you” and “your” in this Agreement will refer to both the individual using the Site and to any such Organization.&#x20;

#### **Eligibility**&#x20;

This site is offered and available to users who are 18 years of age or older, or, if the registered user is an Organization, you have the right, power and authority to enter into this agreement on behalf of the registered user and bind the registered user to its terms. If the registered user does not agree to the terms of this agreement, we will not provide our services and you must not use the Site or any of our services. Without limiting the foregoing, by using our Site, you acknowledge and understand that laws regarding financial instruments, which sometimes include Crypto Assets (as defined below), may vary from jurisdiction to jurisdiction, and it is your obligation alone to ensure that you fully comply with any law, regulation or directive, relevant to your jurisdiction with regard to the use of our Site. For the avoidance of doubt, the ability to access our Site does not necessarily mean that our Site, or your activities through it, are legal under the laws, regulations or directives relevant to your jurisdiction. All of our Site or the services made available through our Site may not be available to all users, and we reserve the right to assess or reassess at any time your eligibility to use all or part of our Site. Our Site does not constitute, and may not be used for the purposes of, an offer or solicitation to anyone in any jurisdiction in which such offer or solicitation is not authorized, or to any person to whom it is unlawful to make such an offer or solicitation.

#### **Services**

Through the use of the Site, individuals can interact with decentralized protocols to create and replicate baskets of crypto assets (“NestedNFTs” or a "Nested portfolio" or a similar term ) and to realign weights on NestedNFTs without intermediaries while remaining in control of their Crypto Assets. “Crypto Assets” as used in this Agreement, refers to tokens, implemented on the different decentralized protocols using smart contracts. Nested Finance Ltd. does not endorse any particular NestedNFTs or otherwise officially advise you with respect to a particular NestedNFTs, and any predefined NestedNFTs made available on the Site are not intended to be personalized financial advice to you. To access the services on the Site, including to create or replicate a NestedNFT, you must have access to a compatible virtual and self-custodian currency wallet (a “Wallet”). Any Crypto Assets you acquire through the Site will be held and administered solely by you through your Wallet, and we shall have no access to or responsibility in regard to your Wallet or any Crypto Asset held in your Wallet. It is solely your responsibility to determine what Wallet software to use in connection with the Site, and your use of such Wallets is subject to any governing terms of use or privacy policy of such Wallet. While the Company has added support for certain Wallets and Crypto Assets on the site, you acknowledge and agree that we are under no obligation to add additional support for other Wallets or other Crypto Assets, and that the inclusion of any particular Wallet or Crypto Asset is not an endorsement by us.

**Nested Finance Ltd. will not create a hosted Wallet for you or otherwise custody Crypto Assets on your behalf, and it is your sole responsibility to maintain the security of your Wallet. In the event that you lose access to your Wallet, a private key, password, or other method of securing your Wallet, any funds may be irretrievable, and Nested Finance Ltd. will be unable to assist you in any way. You hereby irrevocably waive, release and discharge all claims, whether known or unknown to you, against Nested Finance Ltd., its affiliates and their respective shareholders, members, directors, officers, employees, agents and representatives related to your use of any Wallet software, associated loss of funds, transaction failures, or any other defects that arise in the course of your use of your Wallet, including any losses that may obtain as a result of any failure in smart contracts made available on the Site.**

We reserve the right to modify, suspend or discontinue, temporarily or permanently, all or any part of our Site with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of all or any part of our Site.

THE SITE IS AN ADMINISTRATIVE PLATFORM ONLY. WE ARE NOT A BROKER, DEALER, FINANCIAL INSTITUTION, EXCHANGE, CUSTODIAN, ROBO-ADVISOR, INTERMEDIARY, OR CREDITOR. THE SITE DOES NOT FACILITATE TRANSACTIONS BETWEEN BUYERS AND SELLERS, INCLUDING WITH RESPECT TO ANY TRANSACTIONS THAT OCCUR DURING A REBALANCE, WHICH TRANSACTIONS OCCUR ON THIRD-PARTY, UNAFFILIATED PLATFORMS. #### **Social Trading Services**

As part of the services offered on the Site, you have the ability to follow and interact with Traders by utilizing the social trading features made available on the Site (collectively, “Social Trading”). Social Trading allows you to replicate certain Traders’ NestedNFTs by providing you with the ability to execute code on a decentralized protocol that will automatically purchase the assets and replicate the weights of other Traders’ NestedNFT. You acknowledge and agree that, once initiated, Social Trading will automatically result in the execution of certain transactions in accordance with predetermined strategies, and hereby consent to such automatic execution. Social Trading services also include tools to test, evaluate and select your rebalance strategy by providing you with detailed Trader information, trading history and other pertinent information (“Information”) you may want to consider before electing to subscribe to a Trader’s NestedNFT. We may also provide to you information about your transactions, including procedures, risks and other factual market information. However, we are under no obligation to provide such Information to you and if we do, it will not constitute investment advice and is intended solely for informational purposes. In the event that we are ever acting as Traders, we will specifically identify any NestedNFTs as being affiliated with the Company.

Social Trading is a new feature and should be considered a “beta” product. In making a decision to utilize Social Trading, you hereby represent and warrant that you have considered your entire financial situation including financial commitments and you understand that using Social Trading is highly speculative and that you could sustain significant losses, including as a result of the failure of the underlying software. We do not provide any guarantee as to the performance of any particular transaction or set of transactions, portfolio, or strategy, and we do not in any manner endorse, support, sanction, encourage, verif&#x79;**,** or agree with any Trader, portfolios or strategies. Execution of any instructions generated by our Social Trading services will occur exclusively on the decentralized protocols, and in no way shall we be responsible for any failure to execute any instructions or code on these decentralized protocols.&#x20;

You hereby agree that we will not be liable to you or to any third party for any failure to execute instructions transmitted on the decentralized protocol or any other defect that arises in connection with your use of the Social Trading features that are caused by a failure of the underlying blockchain network or smart contract code. You further represent and warrant that you have reviewed and acknowledged all of the risks attendant to using the Site, including the risks related to Social Trading described in this Agreement. The Company is not providing any portfolio management services in connection with the Site.&#x20;

You should carefully review all claims and representations made by Traders before making a transaction decision. If you choose to engage in transactions based on Information or other content on the website or applications or elect to copy specific Traders, then such decisions and transactions and any consequences flowing therefrom are your sole responsibility.

You should use any content or Information gathered from the Site only as a starting point for your own independent research and transactional decision making, and you must rely on your own judgment in entering into or refraining from using the Site or conducting (or not conducting) any transaction. In no event shall the Company be responsible or liable to you or anyone else, directly or indirectly, for any damage or loss arising from or relating to any use, continued use or reliance on any Information or tools, including, without limitation, directly or indirectly resulting from errors in, omissions of or alterations to any such Information.&#x20;

We reserve the right to suspend or terminate a Trader for any reason, particularly for violations of the Company’s policies and applicable laws. You agree that we will not be liable to you or to any third party for any suspension or termination of a Trader.

**By using the Site, you agree to be fully, independently and personally liable for each transaction made on the Site by you, including, without limitation, any position automatically opened as a result of using our Social Trading features. As such, you must make sure that you are the only person with access to your Wallet and/or Account at all times. You must make sure that no minors have access to your Wallet and/or Account. In the unlikely event that a contract is entered to acquire or sell Crypto Assets at a price that does not reflect the market price (such as an event where a technical error such as a bug or defect has caused a malfunction that has affected the price of the transaction), we reserve the right to terminate and cancel any such transaction to the extent technically feasible through blockchain networks. We will notify you of our decision to cancel the transaction and explain our reasons to you. On the other hand, you are required to inform us of any such malfunction should you experience such a malfunction whilst using the Site.**

#### Fees

Some services on the site involve the use of a decentralized network, which may require that you pay a fee, commonly known as “Network Gas Charges,” for the computational resources required to perform a transaction. You acknowledge and agree that the Company has no control over: (a) any Network blockchain transactions; (b) the method of payment of any Network Gas Charges; or (c) any actual payments of Network Gas Charges. Accordingly, you must ensure that you have a sufficient balance of layer 1 native assets stored in your Wallet to complete any transaction on the decentralized protocol before initiating such transactions. We will make reasonable efforts to notify you of any Network Gas Charges before initiating any services that require the use of the decentralized protocol.&#x20;

You may be subject to certain additional fees and commissions, including fees imposed by Nested Finance Ltd. You agree to promptly pay such fees and commissions, as set forth on the Site and as applicable to your Account and the transactions and services you receive, which we may modify from time to time. Notwithstanding anything in this Agreement to the contrary, it is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Site, and to withhold, collect, report and remit the correct amount of taxes to the appropriate tax authorities.

#### **Content**

By acceptance of this Agreement, you agree and acknowledge that the following information and content shall be considered non-confidential and non-proprietary information and shall be publicly shown on the Site (the “Content”): your (a) username, (b) picture or avatar (if provided), (c) networks, (d) list of users who follow you (in the event you are a Trader), (e) any Traders you follow or NestedNFTs you own, and (f) posts, blogs and any other content options that enable our users to interact amongst themselves, including, without limitation, content and information you post on our community, comments, feedback, postings, “likes,” blogs and all other information that you provide to us via our website, our mobile apps, the Site, or by email, chat, fax or telephone or any other means. In addition, if you have elected to use one of our Site in connection with a social network (such as LinkedIn, Twitter, etc.), the Site will access your social network account general information, which includes your name and username in such social network, profile picture, gender, networks, user ID, list of friends, and any other information you have shared publicly on the relevant social network. All NestedNFTs, Information, and trading information performance results shall be considered non-confidential and nonproprietary information and as the Company’s property. By providing such Content, you specifically grant us a non-exclusive, irrevocable, transferable, sub-licensable, royalty-free, worldwide license to use, copy, duplicate store, present and publish all or any part of your Content, and we shall be free to use such Content in any manner or media whatsoever, on an unrestricted basis and without any attribution or royalties or other compensation to you, including, without limitation, within or outside our website, mobile apps, the Site, advertisements, in printed media, and newspapers.

The Site may contain links and references to non-Site websites and resources (“Linked Websites”) and are provided for convenience only. If you decide to leave the Site and access Linked Websites, you do so at your own risk, and Site will have no liability arising out of or related to such Linked Websites and/or their content or any damages or loss caused or alleged to be caused by or in connection of any purchase or use of any such content, goods or services available on or through any such Linked Website. Your use of any Linked Websites shall be subject to such Linked Websites terms of use and privacy policy. * Restrict or inhibit any other person from legal use of the Site.&#x20;

* Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, sanctions programs administered in any jurisdiction the Site operates, including but not limited to the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC"), or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information.&#x20;

#### Access to the Site and the Services

**License**. Subject to this Agreement, Nested Finance Ltd. grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site and related content, materials, information (collectively, the "Site Content") solely for your personal use. Any other use of the Site or Site Content is expressly prohibited and all other right, title, and interest in the Site or Site Content is exclusively the property of Nested Finance Ltd. and its licensors.

**Certain Restrictions.** The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site, whether in whole or in part, or any content displayed on the Site; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Unless otherwise indicated, any future release, update, or other addition to functionality of the Site shall be subject to this Agreement. All copyright and other proprietary notices on the Site (or on any Site Content) must be retained on all copies thereof.

**Site and Service Availability.** Nested Finance Ltd. shall use commercially reasonable efforts to attempt to provide the Site on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that Nested Finance Ltd. undertakes from time to time; or causes beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, failure on or congestion of the Ethereum blockchain network, hostile network attacks, network congestion or other failures. You acknowledge and agree that Nested Finance Ltd. has no control over the availability of this Site on a continuous or uninterrupted basis, and that Nested Finance Ltd. assumes no liability to You or any other party with regard to such, including but not limited to loss of revenue.

**Customer Support.** The Site and any related services are provided “as-is” and Nested Finance Ltd. does not commit to providing any Customer Support in connection with the Site and is under no obligation to do so. However, we are happy to discuss any challenges or questions you may have about the Site and may offer assistance on a case-by-case basis. **Ownership**. You acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site and Site Content are owned by Nested Finance Ltd. or Nested Finance Ltd.’s suppliers. Neither this Agreement nor your access to the Site transfers to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in this Agreement. Nested Finance Ltd. and its suppliers reserve all rights not granted in this Agreement. There are no implied licenses granted under this Agreement.

#### Risks and Disclaimers

Use of the Site and participation in Transactions may carry financial risk. “Transactions” as used in this Agreement are defined as direct interactions with Nested Finance Ltd. Protocol smart contracts on decentralized networks. You acknowledge and agree that you are aware of such risks, including the following:

* Transactions in Crypto Assets can be very risky. Crypto Assets are, by their nature, highly experimental, risky, volatile and Transactions are generally irreversible. You should not make any transactional decision without first conducting your own research. You are solely and exclusively responsible for determining whether any transaction, or strategy, or any other product or service is appropriate or suitable for you based on your own objectives and personal and financial situation. You acknowledge and agree that you will access and use the Site and participate in Transactions at your own risk.
* Understanding Crypto Assets and Transactions may require advanced technical knowledge. Crypto Assets are often described in exceedingly technical language that requires a comprehensive understanding of applied cryptography and computer science in order to appreciate the inherent risks of transacting Crypto Assets. Any reference to a type of Token on the Site does not indicate our approval or disapproval of the underlying technology regarding such type of Token, and should not be used as a substitute for your own understanding of the risks specific to each type of Token. We make no warranty as to the suitability of the Crypto Assets referenced on the Site and assume no fiduciary duty in our relations with you.
* In entering into any Transaction, you represent that you have been, are and will be solely responsible for making your own independent appraisal and investigations into the risks of the Transaction and the underlying Crypto Assets. You represent that you have sufficient knowledge, market sophistication, professional advice and experience to make your own evaluation of the merits and risks of any Transaction or any underlying Token. You accept all consequences of participating in Transactions, including the risk that you may lose access to your Crypto Assets indefinitely. All Transaction decisions are made solely by you. Notwithstanding anything in this Agreement, we accept no responsibility whatsoever for and will in no circumstances be liable to you in connection with Transactions. Under no circumstances will the operation of all or any portion of the Site be deemed to create a relationship that includes the provision or tendering of investment advice.
* The prices of Crypto Assets are extremely volatile. Fluctuations in the price of other digital assets could materially and adversely affect the Crypto Assets, which may also be subject to significant price volatility.&#x20;
* Our Service does not store, send, or receive Crypto Assets. Any transfer of Crypto Assets occurs within the supporting blockchain and not on this Service, as such transfers are generally not reversible or cancelable.&#x20;
* You use the Social Trading features at your own risk, and the Company, and our affiliates, employees, clients and agents, will not be liable to you for any losses that you may sustain as a result of your use of such features. You should not make any transactional decision without first conducting your own research. You are solely and exclusively responsible for determining whether any transaction, or strategy, or any other product or service is appropriate or suitable for you based on your own objectives and personal and financial situation.&#x20;
* You should be able and prepared to bear the loss of the entire investment you made in such copied Trader or fund. You are fully responsible for any losses you may sustain as a result of your automatic execution of instructions generated as a result of the utilization of any of the Social Trading features. If you place additional trades or you modify or cancel an order generated by a Social Trading feature, you may achieve a materially different result than the Trader that you copied.&#x20;
* Neither the Company nor any Trader, portfolio or strategy guarantees the future performance of your Crypto Asset, any specific level of performance, the success of any transaction strategy or the success of your overall management of the Account. When reviewing the Information, portfolio, financial performance information, opinions of Traders, you should not assume that the user is unbiased, independent or qualified to provide financial information or opinions. Past performance and risk scores have many inherent limitations and are not indicative of future results. No representation or guarantee is being made that any Trader will or is likely to achieve gains or losses similar to the past performance or risk score showed. The actual percentage gains or losses experienced by investors will vary depending on many factors.
* **To the maximum extent permissible under applicable law, neither we nor any of our affiliates will be liable for (a) any loss arising from following your written or oral instructions, (b) any loss that you may suffer by reason of any decision made or other action taken by an account elected to be copied by you, including without limitation, a Company Trader account; or (c) any loss arising from any investment decision made or other action taken or omitted in good faith by any copied account, strategy or portfolio, including, without limitation, a Company Trader account. Notwithstanding the foregoing, nothing in these Terms will waive or limit any rights that you may have under any applicable laws which may not be waived or limited.**
* You are responsible for complying with applicable law. You agree that we are not responsible for determining whether or which laws may apply to your Transactions, including tax laws. You are advised to consult an attorney regarding of the legality of any activities on the Site. You are solely responsible for reporting and paying any taxes arising from your use of the Site and participation in any Transaction.&#x20;
* You are aware of and accept the risk of operational challenges. The Site may experience sophisticated cyber-attacks, unexpected surges in activity or other operational or technical difficulties that may cause interruptions to or delays on the Site. You agree to accept the risk of a Transaction failure resulting from unanticipated or heightened technical difficulties, including those resulting from sophisticated attacks, and you agree not to hold us accountable for any related losses. We will not bear any liability, whatsoever, for any damage or interruptions caused by any Viruses that may affect your computer or other equipment, or any phishing, spoofing or any other type of similar activity.&#x20;
* There are risks associated with using an Internet based currency, including but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your wallet. You accept and acknowledge that the Company will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the Site, however caused.&#x20;
* The regulatory regime governing blockchain technologies, cryptocurrencies, and Crypto Assets is uncertain. New regulations or policies may materially adversely affect the development of the Auction and/or Service and the utility of Crypto Assets. You are advised to consult with legal counsel regarding the Site’s contents in your jurisdiction.
* You accept and confirm that a conflict of interest may arise when the interest of the Company and its affiliates competes or may appear to compete with your interests under this Agreement. Specifically, you hereby acknowledge and confirm that: (a) we may participate in certain transactions or auctions during a rebalancing period in an individual capacity ; (b) we may execute at the same time our own orders which may be opposite a user; (c) we may establish a business, including without limitation, trading relationships with other issuers of financial instruments and we may have a financial interest in such instruments; (d) we may seek to act as a market maker and in this context there may be inherent conflicts of interest; and (e) we may compensate or share our revenues from your activity with our affiliates, partners or other similar parties performing marketing activities on our behalf. You hereby further acknowledge that we also may compensate Traders who you have elected to follow or copy. Nested Finance Ltd. does not currently charge fees or compensate individuals in a manner that would cause such conflict of interest to arise, but we reserve the right to do so, and you hereby acknowledge and agree that you understand the risks attendant to this potential conflict of interest.
* The Service will rely on third-party platforms such as MetaMask or Wallet Connect - but not only - to perform the transactions for the Auction of Crypto Assets. If we are unable to maintain a good relationship with such platform providers; if the terms and conditions or pricing of such platform providers change; if we violate or cannot comply with the terms and conditions of such platforms; or if any of such platforms loses market share or falls out of favor or is unavailable for a prolonged period of time, access to and use of the Site will suffer.
* The Company does not own or control the underlying software protocols which govern the operation of Crypto Assets available through the Site. In general, the underlying protocols are open source and anyone can use, copy, modify, and distribute them. The Company is not responsible for the operations of the underlying protocols, and the Company makes no guarantee of their functionality, security, or availability. The underlying protocols are subject to sudden changes in operating rules (“Forks”), and such Forks may materially affect the value, function, or even the name of a Crypto Asset available on the Site. In the event of a Fork, we may temporarily suspend the Site’s operations (with or without advance notice to you) and we may (a) configure or reconfigure its systems or (b) decide not to support (or cease supporting) the Forked protocol entirely.

Our privacy policy is a part of this Agreement. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

#### Warranties and Disclaimers

We have put in a great deal of effort to deliver you the Site and we hope you find it valuable, but there are certain things we can’t promise about them.&#x20;

#### **Indemnification**

You agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Site, including, but not limited to any use of the Site's content, services and products other than as expressly authorized in this Agreement or your use of any information obtained from the Site.&#x20;

#### Governing Law and Venue&#x20;

This Agreement and your access to and use of the Site will be governed by the laws of the British Virgin Islands. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court shall be resolved in the state or federal courts of the British Virgin Islands.

#### Designated Countries Privacy Rights

&#x20;This Section only applies to users and customers of the Site that are located in the European Economic Area, United Kingdom and/or Switzerland (collectively, the “Designated Countries”) at the time of data collection. We may ask you to identify which country you are located in when you use some of the Site, or we may rely on your IP address to identify which country you are located in. Where we rely only on your IP address, we cannot apply the terms of this Section to any User or Customer that masks or otherwise obfuscates their location information so as not to appear located in the Designated Countries. If any terms in this Section conflict with other terms contained in this Agreement, the terms in this section shall apply to Users and Customers in the Designated Countries.

We are a data controller with regard to any personal information collected from Customers or Users of its Site. A “data controller” is an entity that determines the purposes for which and the manner in which any personal information is processed. Any third parties that act as our service providers are “data processors” that handle your personal information in accordance with our instructions.

You may object to our processing at any time and as permitted by applicable law if we process your personal information on the legal basis of consent, contract or legitimate interests. We can continue to process your personal information if it is necessary for the defense of legal claims, or for any other exceptions permitted by applicable law. If we process your personal information based on a contract with you or based on your consent, or the processing is carried out by automated means, you may request to receive your personal information in a structured, commonly used and machine-readable format, and to have us transfer your personal information directly to another “controller”, where technically feasible, unless exercise of this right adversely affects the rights and freedoms of others.

**Changes to this Agreement**&#x20;

We reserve the right to change this Agreement at any time upon notice. We may give notice by posting the updated Agreement on the Site or by any other reasonable means. You can review the most current version of this Agreement at any time. This Agreement in effect at the time of your use of the Site apply. Updated versions of the Agreement are binding on you with respect to your use of the Site on or after the date indicated in the updated Agreement. If you do not agree to the updated Agreement, you must stop using the Site. Your continued use of the Site after the date of the updated Agreement will constitute your acceptance of the updated Agreement.

#### Entire Agreement&#x20;

This Agreement and Privacy Policy constitute the sole and entire agreement between you and the Company with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site. 1. Nested Finance Ltd. reserves the right to cancel a user's participation in the event due to the following circumstances: wash trading, volume faking, multi-account operation, self-transaction, market manipulation, etc.
2. During the competition, any user who withdraws funds from their participating portfolio will be disqualified.
3. During the competition, any user who sends their participating portfolio to another address will be disqualified.
4. Nested Finance Ltd. reserves the right to disqualify any participants who engage in dishonest or abusive activities during the event, including bulk-account registrations to farm additional bonuses and any other activities in connection with unlawful, fraudulent or harmful purposes.
5. Nested Finance Ltd. reserves the right to modify the terms of this event without notifying users in advance.
6. Nested Finance Ltd. reserves the right of the final interpretation of this event.&#x20;
